TECHNOLOGY PROVIDER AND TERMS: Holiday Systems International (HSI) is the sole owner and provider of this Internet Booking System (IBS) technology and is the “IBS Host”, which includes payment processing. In performing all of the services, obligations and duties described in this Agreement, the IBS Host and Premium Buyers Club have joined together to provide a convenient and valuable service to Premium Buyers Club. clients, but are acting as independent contractors and not as an agent of the other. No act undertaken by either the IBS Host or Premium Buyers Club. within the scope of this Agreement, or outside the scope of this Agreement, shall be construed as an act by either as an agent for the other. The relationship between the IBS Host and IBS users is governed by the terms and conditions herein, the information within the IBS and as stated in the HSI Confirmation Letters and other Travel Documents.

b. QUALIFIED USERS: Use of this IBS and access to these special rates are confidential and available to Premium Buyers Club. members as a special promotion. You must be a valid Premium Buyers Club. member to purchase at these special rates. You may, however, make purchases on behalf of friends and family members. We strongly recommend that you understand the terms of doing business with this IBS. This can be accomplished by reading these terms and clicking through the available features of the website, including the selection of information buttons in the upper-left-hand area of the IBS Home Page. The IBS Host reserves the right to refuse business to any person for any reason whatsoever.

c. IBS DISCOUNTS: This IBS provides a variety of specially priced travel options. These options will vary based upon the agreement between the IBS Host and your Subscriber (Premium Buyers Club.). Some of these options may include “Burn Weeks®”, “Other Weeks” and “Other Discounts” (which may include “Discount Car Rentals”, “Discount Cruises”, “Discount Tours”, “Request Weekly Lodging” and “Request Nightly Lodging”). The bullets below provide an overview of these options:

· Burn Weeks® and Other Weeks: The IBS will list a selection of available Wholesale Lodging Inventory (Weeks) listed by start dates and identified by Resort name, location, unit size, occupancy maximum and weekly price. Standard prices are NOT based on occupancy, therefore, to understand the enormous savings you are receiving, divide the weekly price by 7-nights, then by the number of guests (i.e. 6 for a 2-bedroom unit) to fully appreciate your per-person, per-night rate. Prices are set per unit (usually a Condominium unit), for the designated time period. The “Price” listed in the “Price” column represents the list price for an entire 7-night-stay (a “Week”) and includes up to full occupancy. All lodging Weeks listed within the IBS are LODGING-ONLY sales and do not include transportation, gratuities, etc. Prices INCLUDE room tax; however, some resorts require additional fees for the use of certain amenities and services (i.e. Utility Surcharge, equipment rentals, towel service, extra housekeeping service, Security Deposit, etc.), which are collected at the host resort and are the guest's responsibility. Availability and prices are subject to change. In the event a Week is located at an ALL-INCLUSIVE MANDATORY resort, this will be indicated on the IBS listing with the applicable details. All-Inclusive resorts require a mandatory pre-purchase of an All-Inclusive package, which is normally inclusive of meals, beverages, activities, etc. All-Inclusive resorts require additional costs upon check-in, normally charged on a per-person per-night rate. In the event a Week is located at an All-Inclusive Mandatory resort, this will be indicated on the IBS listing with the applicable details.

· Request Weekly Lodging: When this feature is available, it allows the IBS user to request 7-night-stay lodging for locations and dates NOT listed within the Burn Weeks or Other Weeks listings.

· Request Nightly Lodging: When this feature is available, it allows the IBS user to request NIGHTLY lodging availability.

· Discount Cruises: When this feature is available, it allows the IBS user to request Discount Cruises.

· Discount Tours: When this feature is available, it allows the IBS user to request Discount Tour Packages.

· Discount Car Rentals: When this feature is available, it allows the IBS user to access special Discount Car Rental rates.

d. ALL SALES ARE FINAL. NO CANCELLATIONS: As a Wholesaler, the IBS Host does not do business with the general public. As such, a WHOLESALE-DIRECT relationship does not allow cancellations as found when paying the inflated rates in the “Retail” market. Once again, we strongly recommend that you understand the concept of doing business with this IBS. This can be accomplished by reading these terms and clicking through the available features of the website, including the selection of information buttons in the upper-left-hand area of the IBS Home Page. By using this IBS, you acknowledge that all Reservations “Confirmed” through this Internet system, as well as Reservations made directly with the IBS Host (not booked by Internet) are NON-CANCELABLE. THERE ARE NO REFUNDS FOR ANY REASONS WHATSOEVER, INCLUDING NONUSE OF THE RESERVATION. When making Internet Reservations, a “Confirmed” Reservation is understood to be WHEN YOU HAVE ENTERED YOUR CREDIT CARD INFORMATION. When making Reservations directly through the IBS Host (not booked by Internet), a “Confirmed” Reservation is understood to mean when a Reservation is offered and accepted, even when payment remains pending. In the event the IBS Host is unable to collect any monies owed as required, and in addition to all other remedies available, the IBS Host reserves the right to cancel other paid Reservations made by that IBS user (if any) to the extent necessary to cover the unpaid Reservation and a cancellation fee. Due to our NO-CANCEL policy, it is STRONGLY RECOMMENDED THAT YOU PURCHASE TRAVEL INSURANCE through the IBS Host at the time of your Reservation (when available).

e. CHARGE IDENTIFICATION: The charge to your Credit Card will show as a charge from “HOLIDAY SYSTEMS INTERNATIONAL”. Please make note of this to avoid a frivolous Charge-Back due to your failure to recognize this charge. Charge-Backs and other frivolous Credit Card challenges can result in legal action, collections, credit rating marks and refusal of your future business.

f. CHANGES and CANCELLATIONS: All Reservations (Confirmations) are final. Any waiver of this NO CANCELLATION POLICY shall be at the IBS Host's sole discretion. IBS users shall abide by the IBS Host cancellation and change policies regardless of any conflict in policy between that stated by the IBS Host and the associated Resort or Travel Provider (collectively as the IBS Host Vendors). In the event the IBS Host should allow a cancellation of a Reservation, a cancellation fee may be required. A name change of the registered guest may be permitted for a fee. For lodging Reservations, there is a $50.00 charge for the initial name change and a $100.00 charge (or higher) when an additional name change is required for the same booking. Other travel Reservations (i.e. cruises, tour packages, etc.) may require higher name change fees. In the event of a conflict between any IBS Host Vendors’ change or cancellation policy and the IBS Host change or cancellation policy, the IBS Host policy shall prevail. You shall not contact any IBS Host Vendors, management company, reservation department, homeowners association, etc. regarding any Reservation made through the IBS Host in an attempt to circumvent or undermine the IBS Host change or cancellation policies, inventory agreements or any other agreements. The IBS Host change or cancellation policies and fees may change at any time without notice.

g. CONFIRMATION LETTERS/TRAVEL DOCUMENTS: Once your payment for a Reservation is secured by the IBS Host, the IBS Host shall provide Travel Documents (by email for Internet Reservations, by either email, fax, or mail for Reservations made directly through the IBS Host). These documents include additional terms and conditions and must be presented upon arrival.

h. MAID SERVICE: When booking Condominium vacations, Condominiums are normally cleaned weekly. A daily maid service is normally not available.

i. OCCUPANCY: Occupancy limits are strictly enforced. Occupancy limits are indicated on the IBS and also on HSI Travel Documents. Any guest that attempts to over-occupy accommodations may be refused occupancy and/or evicted from the premises and no monies related to such a booking shall be refundable.

j. RULES: Guests are expected to abide by all rules of conduct established by hosting entity. IBS users are responsible for their guests and shall be responsible for all personal charges (e.g. telephone calls, meals, taxi fares, etc.), as well as any damage or loss to resort rooms and/or facilities.

k. INDEMNIFICATION and LIABILITY: Your use of this IBS is your promise to indemnify, defend, save and hold harmless the IBS Host and the IBS Host Subscribers and Licensors and all respective directors, officers, employees, servants, and agents (collectively called the “IT Indemnified Parties”) from and against any and all claims, lawsuits, judgments, losses, costs, and expenses of any nature whatsoever (including reasonable attorney's fees) arising hereunder which may arise from or be claimed against the IT Indemnified Parties in connection with the use of this IBS, including, but not limited to, any loss or damage to property, or injury to or death of any person whomsoever, caused by or attributable to the IBS, the use of the IBS by you, or your directors, officers, employees, servants, agents, representatives, or independent contractors or any third party. Notwithstanding anything contained herein to the contrary, the IBS Host shall not be liable for data input errors, lost data or other data related claims. With regard to IBS user Reservations, you agree and acknowledge that the IBS Host limits its responsibility and liability to the Reservation fee paid to the IBS Host and the IBS Host shall be held harmless from any injury, loss, or damage to persons or property for any reason while you are a guest at any facility, or while in transit, and the IBS Host will not be held responsible for telephone costs, taxi fares, or other travel costs incurred by you. If a Reservation is canceled due to overbooking, the IBS Host accepts no responsibility other than to rebook the guest into another reservation in the same general area for the same time period (i.e. if booked into New England USA, the IBS Host will rebook another resort in New England). The IBS Host accepts no responsibility to rebook for Reservations lost due to any act of nature (e.g. hurricane, earthquake, etc.) nor shall the IBS Host be held liable in any manner whatsoever for any such lost Reservation. You further agree that any liability of the IBS Host hereunder is limited to those matters related to services and products within the IBS Host control. IBS users are responsible for any and all damages to the IBS Host as a result of their failure to comply with any terms and conditions herein.

l. ATTORNEY FEES: In the event litigation results from or arises out of this Agreement or the performance thereof, the parties agree to reimburse the prevailing party's reasonable attorney's fees, court costs, and all other expenses, whether or not taxable by the court as costs, in addition to any other relief to which the prevailing party may be entitled.

m. GOVERNING LAW: This Agreement is made in the state of Nevada and shall in all respects be governed by and construed in accordance with the laws of that state. Any and all suits for any and every breach of this Agreement shall be instituted and maintained in the courts of Clark County, Nevada and IBS users and guests hereby consent to the jurisdiction thereof.

n. WAIVER: No waiver by the IBS Host hereto of any breach or default by IBS user or of any representation, covenant, warranty, undertaking, term or condition of this Agreement shall be deemed a waiver of any other breach or default (whether prior or subsequent thereto) of the same or any other provision of this Agreement.

o. IBS CHANGES: This Subscription is subject to change or cancellation at any time without notice. In the event this Subscription is discontinued, all “Confirmed” Reservations shall be unaffected.
